When to use the board meeting template

Use it whenever a meeting takes formal decisions: a company or non-profit board, a committee, a club or association, an annual general meeting. These minutes are a record people rely on later — to show that a resolution was adopted, and by how many votes — so the format is stricter than for a team meeting.

The template adds three sections. Attendance and quorum states who was present and excused and whether the meeting could decide. Motions and resolutions is a table with one row per vote, failed motions included, with the votes for, against and abstaining and the result. Reports received lists the reports presented and noted.

MinutesMaster writes this template at detailed length by default and copies numbers, amounts and vote counts exactly as they were said. A count nobody stated is marked with a dash, never estimated.

Structure

The structure of board meeting minutes

Three formal sections on top of the fields every set of minutes has.

Sections this template adds

  1. 1

    Attendance and quorum

    Paragraph

Who is present and who is excused, the counts, and whether the meeting is quorate — only as stated in the meeting.

  2. 2

    Motions and resolutions

    Table

One row per vote, in order, including motions that failed. A cell nobody stated is marked with a dash.

    Columns: No. · Motion · For · Against · Abstained · Result

  3. 3

    Reports received

    List

Reports presented and noted, such as the treasurer’s report or a committee update.

In every set of minutes

Whichever template you pick, MinutesMaster also writes these fields:

  • Overview — one to three sentences on what the meeting was about and what came out of it.
  • Summary — the discussion condensed into a short read for people who weren’t there.
  • Participants — every speaker, with their name and role when it was said in the meeting.
  • Agenda — the topics actually discussed, in order.
  • Decisions — only what was explicitly agreed or adopted, kept apart from proposals and opinions.
  • Action items — tasks with an owner, and a due date when one was stated.
  • Next meeting — date, time and agenda points, if they came up.
  • Detailed minutes — a narrative record in paragraphs, with the times of the important moments.

Quarterly board meeting — Riverside Community Sports Club

The board approved the 2027 budget and a membership fee increase, voted down the sale of the second minibus and noted the treasurer’s and youth section reports.

Summary

The chair confirmed that six of the seven board members were present, so the meeting was quorate. The treasurer presented the third-quarter figures: income of €48,200 against expenses of €44,900, with the clubhouse roof repair still to be paid from reserves. Most of the meeting went on the 2027 budget and whether membership fees should rise by €5 or €10 a year; the motion for €5 was adopted. A proposal to sell the second minibus failed after the youth section lead explained that it is used every weekend.

  • Margaret Ellis — chair
  • Daniel Reyes — treasurer
  • Sofia Lind — secretary, takes the minutes
  • Omar Haddad — youth section lead
  • Grace Kim — board member

How it works

Generate these minutes from your recording

Skip the blank page: MinutesMaster writes “Board / committee meeting” minutes from the recording itself.

  1. 1

    Bring the recording

Upload an audio or video file (up to 2 GB), record in the browser or the mobile app, paste a YouTube or Google Drive link, or send the bot to a Zoom, Teams or Google Meet call.

  2. 2

    Choose “Board / committee meeting”

Pick the template when you upload, record or send the bot, or make it your default. Length, tone and sections can be adjusted for a single meeting.

  3. 3

    Review the draft

The minutes are usually ready a minute or two after the upload finishes. Give each speaker their name once, check the decisions and owners, edit any field.

  4. 4

    Export or switch

Download Word (DOCX) or PDF, or regenerate the meeting with another template for free — the earlier version stays under Versions.

Tips

Tips for board meeting minutes

Formal minutes are read by auditors, members and sometimes lawyers. Write them for that reader.

  • Record the vote, not the debate

Board minutes need the motion, the numbers and the result. Summarise the discussion briefly; a verbatim record is rarely required.

  • Include failed motions

A motion that was voted down is part of the record. The template keeps it in the resolutions table with the result “not adopted”, never among the decisions.

  • Number your resolutions

A number such as 2026/15 lets later minutes, contracts and bank mandates refer to a resolution without ambiguity.

  • State the quorum before any vote

Write who was present and whether the meeting was quorate at the start. If someone leaves early, note it before the next vote.

FAQ

Frequently asked questions

How do you write minutes for a board meeting?
Record the date, place, chair and minute-taker, who was present and excused, and whether the meeting was quorate. Then, for each item, the motion, the votes for, against and abstaining, and the result, plus the reports received and the action items.
What must board meeting minutes include?
At least the attendees, the quorum, each motion with its voting result and the resolutions adopted. Your articles, bylaws or local law may require more, such as signatures, so check them before you settle on a format.
Do board minutes need to record who voted how?
Usually the counts are enough: for, against and abstaining. Record names when someone asks for their vote to be minuted or your rules require a roll-call vote.
Should failed motions be in the minutes?
Yes. A motion that was put to a vote and failed is part of the record. This template lists it in the resolutions table with the result “not adopted”.
Can AI take minutes at a board meeting?
It can write the draft: MinutesMaster transcribes the recording and fills in attendance, motions, vote counts and resolutions as they were said. The secretary or chair still reviews and approves the minutes before they are signed or circulated.
Can I use this template for a committee or an association?
Yes. It fits any meeting with motions and votes: boards, committees, clubs, associations and annual general meetings. Czech municipal councils and owners’ associations have their own templates.
Is the board meeting minutes template available in Word?
Yes. Download it above as DOCX or PDF, or copy the plain-text version. Minutes MinutesMaster writes from a recording export to Word and PDF as well.
Do board members need to know the meeting is recorded?
Yes. Tell everyone at the start and follow your own rules and local law on recording. When the MinutesMaster bot joins a Zoom, Teams or Google Meet call, it appears as a visible participant.
